These Terms and Conditions apply to all services provided by Applied Wisdom Limited, a New Zealand registered company (NZBN 9429052396168), to its clients. By engaging our services, you agree to these terms.
1.1 We will provide business analysis and consulting services as described in the agreed scope of work or proposal (the "Services").
1.2 Any changes to the scope of Services must be agreed in writing.
2.1 Fees for our Services will be set out in the proposal or scope of work. Charges may be on a fixed-fee, hourly, or daily rate basis, as agreed.
2.2 Additional expenses reasonably incurred in providing the Services, such as travel or accommodation, will be invoiced separately.
2.3 Invoices are payable within 14 days of the invoice date. Late payments may incur interest at 2% per month.
2.4 All fees are exclusive of Goods and Services Tax (GST), which will be added where applicable.
3.1 You agree to provide us with all necessary information, documents, and access needed to perform the Services.
3.2 You will ensure that the information provided is accurate and complete.
4.1 We retain all rights to any materials, reports, and deliverables we create. You are granted a non-exclusive license to use these for your internal purposes only.
4.2 Any intellectual property or information you provide to us remains your property.
5.1 Both parties agree to keep any confidential information shared during the course of the Services private and not disclose it to third parties without consent, unless required by law.
6.1 Our liability to you is limited to the fees paid for the Services.
6.2 We are not liable for indirect, special, or consequential losses.
6.3 Nothing in these terms limits your rights under the Consumer Guarantees Act 1993 or Fair Trading Act 1986.
7.1 Either party may terminate the Services by giving 30 days' written notice.
7.2 We may terminate immediately if you fail to pay any amounts owed or breach these terms.
7.3 Upon termination, you must pay for all Services provided up to the termination date.
8.1 These terms are governed by New Zealand law, and disputes will be resolved in New Zealand courts.
8.2 If any part of these terms is found to be invalid, the remaining terms will still apply.
8.3 These terms represent the entire agreement between us regarding the Services.
